TERMS AND CONDITIONS OF SALE AND WEBSITE USE

1. ABOUT THESE TERMS

These Terms and Conditions govern:

• Your purchase of products through the official HYCHIKA UK online store;
• The contract formed between you and HYCHIKA when we accept an order; and
• Your use of the content, customer account, support resources and other services made available through the website.

Please read these Terms carefully before placing an order.

By using the website or submitting an order, you confirm that you have read and understood these Terms and agree to be bound by them.

If you do not agree with these Terms, you should not place an order or continue using the website.

Nothing in these Terms excludes, restricts or replaces any mandatory rights available to consumers under applicable United Kingdom law.

The registered address above is provided for legal and business identification. It is not automatically a product return, repair or collection address.

Do not send products to the registered address unless HYCHIKA support has expressly confirmed that address for the particular return.


3. DEFINITIONS

In these Terms:

“HYCHIKA”, “we”, “us” and “our” mean ZOKING GLOBAL (HONG KONG) LIMITED trading through the HYCHIKA UK online store.

“Website” means hychika.co.uk and the pages, checkout, customer account and services made available through it.

“Customer”, “you” and “your” mean the individual or organisation using the Website or placing an order.

“Consumer” means an individual acting for purposes wholly or mainly outside that individual’s trade, business, craft or profession.

“Product” means a product offered for sale through the Website.

“Order” means a request submitted by you to purchase one or more Products.

“Contract” means the legally binding contract formed when we accept your Order.

“Business day” means a day other than Saturday, Sunday or a public holiday in the relevant part of the United Kingdom.

These Terms are primarily written for customers purchasing as consumers.

If you purchase a Product wholly or mainly for commercial, professional, trade or resale purposes, some consumer-specific rights described in these Terms might not apply.

Business purchasers should contact support@hychika.com before placing a high-volume, resale or commercial procurement order.

Nothing in these Terms removes any legal right that applies to you according to your actual status and the circumstances of the purchase.


5. AGE AND AUTHORITY

You must be at least 18 years old and have legal capacity to enter into a contract to place an Order.

If you place an Order on behalf of a company, organisation or another person, you confirm that you have authority to bind that person or organisation.

You are responsible for ensuring that the information provided during checkout is complete, current and accurate.

Where a separate product, promotion or warranty has additional terms, those additional terms also apply.

Where an additional term conflicts with a mandatory consumer right, the mandatory consumer right will apply.


7. PRODUCT INFORMATION

We take reasonable care to ensure that Product descriptions, images, specifications, compatibility information, prices and availability are accurate.

Product images are provided to help identify and understand the Product. Colours, finishes, packaging and minor visual details may appear differently according to screen settings, manufacturing updates or packaging changes.

Measurements, capacities, performance figures and other technical information may be approximate unless expressly stated otherwise.

We will not knowingly substitute a materially different Product without your agreement.

A change that materially affects the Product’s main characteristics will be communicated where reasonably possible before fulfilment.

You are responsible for reviewing:

• Voltage and frequency;
• Plug type;
• Battery platform;
• Dimensions and weight;
• Materials and intended applications;
• Included accessories;
• Compatible models;
• Safety requirements; and

Product information provided before the Contract is formed remains subject to any legal rules that treat that information as part of the Contract.


8. PRODUCT AVAILABILITY

All Products are subject to availability.

Adding a Product to your basket does not reserve it.

Stock information may change before the Order is accepted, particularly where inventory is shared between warehouses, systems or sales channels.

Where a Product becomes unavailable after you place an Order, we may:

• Cancel the affected Product;
• Contact you about an appropriate alternative; or
• Cancel the entire Order where fulfilment is no longer reasonably possible.

We will not supply a substitute Product that is materially different without your agreement.

Where we cancel an unavailable Product, any payment collected for that Product will be refunded.


9. PRICES

Prices are displayed in British pounds sterling, GBP.

The Product price applicable to your Order is the price displayed during checkout before you submit the Order, subject to correction of an obvious error.

The total amount payable to HYCHIKA will be shown before you place the Order and will include:

• The price of the Products;
• Taxes collected by us where applicable;
• Delivery charges, where applicable;
• Discounts properly applied to the Order; and
• Any other charge collected through checkout.

Delivery charges and available delivery methods may depend on the Product, delivery postcode, parcel size, weight, courier and warehouse.

Where any import duty, tax or carrier charge might be payable by the customer and is not collected by us at checkout, the applicable arrangement will be disclosed before the Order is placed where required by law.

We may change Product prices at any time, but a price change will not affect a Contract that has already been accepted, except where required to correct an obvious error and you agree to continue at the corrected price.


10. PRICING AND WEBSITE ERRORS

Despite reasonable checks, a Product may occasionally be listed with an incorrect price, description, discount, stock status or specification.

Where an error is obvious and could reasonably have been recognised as an error, we are not required to supply the Product on the incorrect basis.

If we identify a material error before accepting the Order, we may:

• Contact you and offer the opportunity to proceed on the corrected basis; or
• Cancel the affected Order and refund any amount collected.

We will not charge a higher price without your agreement.

Where the error is not material or does not affect your purchasing decision, we may correct the Website without cancelling the Order.


11. PROMOTIONS AND DISCOUNT CODES

Promotions, bundles, discount codes, gifts and limited offers may be subject to additional conditions stated with the promotion.

Unless expressly stated otherwise:

• Promotions cannot be exchanged for cash;
• Only one promotional code may be used per Order;
• A code must be entered before payment;
• Codes cannot normally be applied retrospectively;
• Promotions are available only during the stated period;
• Promotions may be limited by Product, customer, Order value or territory; and
• Returned items may reduce or remove a promotional discount where the remaining Order no longer meets its conditions.

We may withdraw or correct a promotion where there is an obvious error, misuse or technical problem.

Any withdrawal will not remove rights under a Contract already accepted, except where the promotion was based on an obvious error or misuse and the law permits correction.


12. PLACING AN ORDER

The Website will guide you through the steps required to submit an Order.

Before submitting the Order, you should review and correct:

• The Products and quantities;
• The delivery address;
• The billing information;
• The email address and phone number;
• The delivery method;
• Any promotional code; and
• The total price.

By selecting the button that clearly indicates payment or submission of the Order, you confirm that the Order creates an obligation to pay if accepted.

Orders may be submitted in English.

These Terms can be viewed, saved and printed from the Website before an Order is placed.


13. ORDER ACKNOWLEDGEMENT AND CONTRACT FORMATION

After you submit an Order, we normally send an electronic acknowledgement.

The acknowledgement confirms that we have received your Order. It does not necessarily mean that the Order has been accepted.

A Contract is formed when we send confirmation that the Product has been dispatched, or when we otherwise expressly confirm acceptance.

Where an Order contains multiple Products, acceptance may occur separately for each Product as it is dispatched.

A Product that has not been included in a dispatch or acceptance confirmation has not yet been accepted.

We may retain an electronic record of the Order and Contract. You should also save your Order confirmation and these Terms for future reference.


14. REASONS WE MAY REFUSE OR CANCEL AN ORDER

We may refuse or cancel an Order before acceptance where reasonably necessary, including where:

• The Product is unavailable;
• We cannot obtain payment authorisation;
• The payment information appears incorrect;
• The price or Product information contains a material error;
• The delivery address is incomplete, invalid or unsupported;
• The Product is subject to delivery or transport restrictions;
• We reasonably suspect fraud, unauthorised payment or unlawful activity;
• An Order exceeds a stated quantity limit;
• The Order appears to be placed for unauthorised resale;
• We cannot legally supply the Product to the destination; or
• A technical or operational problem prevents fulfilment.

Where we cancel an Order, we will notify you using the contact information provided and refund any amount collected for the cancelled Product.

We will not refuse an Order for an unlawful discriminatory reason.


15. PAYMENT

Available payment methods are displayed during checkout.

Payment services may be provided by third-party payment processors.

By submitting payment information, you confirm that:

• You are authorised to use the payment method;
• The information is accurate;
• Sufficient funds or credit are available; and
• The payment is not connected with fraud or unlawful activity.

Your payment method may be authorised or charged when the Order is submitted, processed or accepted, depending on the payment method.

Where we do not accept the Order after collecting payment, the relevant amount will be refunded.

The time required for a released authorisation or refund to appear depends on your bank or payment provider.


16. FRAUD PREVENTION AND VERIFICATION

Orders may be subject to payment, identity, address and fraud-prevention checks.

We or our payment providers may request additional reasonable information before accepting an Order.

Where required to protect customers, the business or payment systems, we may delay or refuse fulfilment while verification is completed.

17. DELIVERY AREAS

We deliver only to locations and postcodes accepted during checkout.

Delivery availability may vary according to:

• Product type;
• Warehouse location;
• Parcel dimensions and weight;
• Courier coverage;
• Battery and dangerous-goods restrictions;
• Remote-area restrictions; and
• The delivery postcode.

Availability at checkout does not convert the registered Hong Kong company address into a UK office, warehouse or return centre.


18. DELIVERY TIMES

Delivery information available for the Order will be shown during checkout, on the Product page or in the dispatch notification.

Delivery dates and courier tracking estimates are normally estimates and are not guaranteed appointment times unless expressly agreed.

Unless another delivery period is agreed, goods will be delivered without undue delay and within the period required by applicable law.

Where no different period has been agreed, consumer orders are generally required to be delivered no later than 30 days after the Contract is formed.

Delivery may be affected by:

• Stock location;
• Warehouse processing;
• Courier delays;
• Severe weather;
• Transport disruption;
• Peak periods;
• Remote destinations;
• Incorrect address information;
• Customs or regulatory checks where applicable; and
• Events outside our reasonable control.

Where a legally significant delivery deadline is missed, you may have the right to require delivery within an additional appropriate period or to end the Contract in the circumstances permitted by law.


19. DELIVERY ADDRESS

You are responsible for providing a complete and accurate delivery address, postcode and contact information.

Contact us immediately if you notice an address error.

An address change cannot be guaranteed after the Order has entered processing or dispatch.

We are not responsible for a failed delivery caused solely by materially incorrect or incomplete information provided by you, but we will act reasonably to help resolve the issue.

Additional reasonable costs caused by redirection, re-delivery or return to sender may be charged where the problem resulted from incorrect information supplied by the customer and the law permits the charge.


20. DELIVERY AND RECEIPT

Delivery is completed when the Product comes into the physical possession of:

• You; or
• A person identified by you to receive it.

A courier may follow reasonable delivery instructions, including delivery to a safe place or nominated neighbour, where you requested or authorised that arrangement.

Check tracking information and courier notices where a delivery attempt has been made.

Where tracking states that an Order was delivered but it cannot be located, check:

• The delivery address;
• Safe places;
• Household members;
• Neighbours;
• Building reception areas; and
• Any courier photograph or delivery note.

21. RISK AND OWNERSHIP

Products remain at our risk until they come into the physical possession of you or a person identified by you to receive them.

Where you independently appoint a carrier that we did not offer as a delivery option, risk may pass when the Product is delivered to that carrier, subject to applicable law.

Ownership of a Product passes to you after we have received full payment for it, unless mandatory law requires otherwise.


22. DAMAGED, INCORRECT OR MISSING DELIVERIES

Inspect the parcel within a reasonable time after delivery.

Contact us promptly if:

• The parcel is visibly damaged;
• The Product is damaged;
• The wrong Product was delivered;
• Parts or accessories are missing; or
• The parcel appears incomplete.

Please keep:

• The Product;
• Outer packaging;
• Internal packaging;
• Shipping label;
• Included accessories; and
• Any delivery documentation.

We may request photographs or video to help investigate.

Prompt reporting helps with courier investigation, but it does not remove or reduce any statutory right you have in relation to non-conforming goods.


23. CANCELLATION AND CHANGE-OF-MIND RETURNS

Consumers purchasing eligible Products online normally have a statutory right to cancel without giving a reason.

The applicable cancellation period, return procedure, refund timing, return-cost rules and exceptions are explained in our Return and Refund Policy:

For most eligible goods, you must notify us no later than 14 days after delivery and then return the goods no later than 14 days after notifying us.

Contact us before sending any Product back.

We will provide the appropriate return destination and transport instructions.

Do not send a Product to the registered Hong Kong address, to an address printed on the parcel or to another location unless HYCHIKA support has expressly authorised that address for the return.

Nothing in this section limits any statutory cancellation right.


24. FAULTY OR NON-CONFORMING PRODUCTS

We are under a legal duty to supply goods that conform to the Contract.

Products supplied to consumers must meet applicable legal requirements, including being:

• Of satisfactory quality;
• Fit for any particular purpose made known to us;
• As described;
• Consistent with any applicable sample or model;
• Properly installed where installation forms part of the Contract; and
• Supplied by a trader entitled to supply them.

Where a Product does not conform to the Contract, you may have legal rights including:

• A short-term right to reject;
• Repair;
• Replacement;
• A price reduction;
• A final right to reject; or
• Another remedy available under applicable law.

The available remedy depends on the circumstances, timing and applicable law.

Nothing in these Terms excludes or restricts a right or remedy that cannot legally be excluded or restricted.


25. COMMERCIAL WARRANTY

Certain eligible HYCHIKA Products may include a commercial warranty.

The applicable warranty duration and conditions are those expressly stated on:

• The Product page;
• The Product packaging;
• The instruction manual;
• A warranty card; or
• Another warranty document supplied with the Product.

No blanket three-year warranty should be assumed unless a three-year period is expressly stated for the relevant Product.

Commercial warranty coverage may depend on:

• Valid proof of purchase;
• Product model;
• Purchase channel;
• Territory;
• Nature of the fault;
• Correct use;
• Maintenance; and
• Product-specific exclusions.

A commercial warranty is provided in addition to statutory rights and does not replace or reduce them.


26. PRODUCT SAFETY AND INTENDED USE

You must read and follow all Product instructions, warnings, labels and safety information.

Use Products only:

• For their intended purpose;
• With compatible accessories;
• At the specified voltage and frequency;
• Within stated operating limits;
• In appropriate environmental conditions; and
• With suitable personal protective equipment.

Power tools may present risks including cutting, impact, electric shock, heat, dust, noise, vibration, chemical exposure, paint mist and battery hazards.

You are responsible for assessing the work area, materials and personal capability before using a Product.

Do not use a Product while impaired by alcohol, drugs, medication, fatigue or another condition that may make operation unsafe.

Keep Products away from children and unauthorised users.


27. PAINT, CHEMICAL AND SPRAYING PRODUCTS

Where a Product is used with paint, coating, solvent, cleaner or another substance, you are responsible for checking that the substance is suitable for:

• The Product;
• The selected nozzle or accessory;
• The intended surface;
• The working environment; and
• The required ventilation and safety controls.

Follow the material manufacturer’s safety data, dilution, ventilation, protective equipment and disposal instructions.

Do not spray flammable or hazardous material unless the Product instructions expressly permit it and all applicable safety requirements are satisfied.


28. BATTERIES AND CHARGERS

Use only batteries and chargers expressly stated to be compatible.

Do not use, charge, transport or store a battery that is:

• Swollen;
• Leaking;
• Punctured;
• Crushed;
• Overheating;
• Producing smoke;
• Producing an electrical odour; or
• Otherwise damaged or suspected to be unsafe.

Stop using the Product and contact support where there is a possible battery safety issue.

Battery performance and lifespan may vary according to age, temperature, storage, charging practices, load and normal wear.


29. MISUSE AND UNAUTHORISED MODIFICATION

Commercial warranty coverage may not apply to problems caused by:

• Misuse;
• Neglect;
• Accidental damage;
• Incorrect voltage;
• Incompatible accessories;
• Operation outside the instructions;
• Overloading;
• Improper storage;
• Water or chemical damage;
• Unauthorised modification;
• Unauthorised repair; or
• Normal wear of consumable components.

This section does not remove statutory rights where the Product itself was faulty or did not conform to the Contract.


30. CUSTOMER ACCOUNTS

You may be able to place an Order as a guest or through a customer account.

You are responsible for:

• Keeping account credentials confidential;
• Providing accurate account information;
• Restricting unauthorised access to your device;
• Reviewing account activity; and
• Contacting us if you suspect unauthorised access.

We may temporarily restrict an account where reasonably necessary to investigate security, fraud or misuse.

We will not close or restrict an account for the purpose of preventing a customer from exercising a lawful consumer right.


31. WEBSITE AVAILABILITY

We aim to keep the Website reasonably available, but continuous or error-free access is not guaranteed.

We may suspend, restrict or update parts of the Website for:

• Maintenance;
• Security;
• Technical changes;
• Legal compliance;
• System upgrades; or
• Events outside our reasonable control.

Website suspension does not remove obligations under an existing accepted Contract.

Nothing in these Terms transfers intellectual property ownership to you.

Loss is foreseeable where it was obvious that it would happen or where both parties knew that it might happen when the Contract was formed.

We do not exclude or restrict liability where doing so would be unlawful.

In particular, nothing in these Terms excludes or restricts liability for:

• Death or personal injury caused by negligence;
• Fraud or fraudulent misrepresentation;
• Breach of statutory rights that cannot be excluded;
• Defective products where liability cannot be excluded;
• Wilful misconduct; or
• Any other liability that cannot legally be limited.


38. LOSSES NOT CAUSED BY OUR BREACH

We are not responsible for loss caused solely by:

• Use outside the Product’s intended purpose;
• Use of an incompatible accessory or material;
• Unauthorised modification or repair;
• Incorrect information supplied by you;
• Normal wear and tear;
• A third party that is independent of our obligations;
• An event outside our reasonable control; or
• Your failure to take reasonable steps to reduce avoidable loss.

This section applies only to the extent permitted by law and does not override statutory rights.


39. BUSINESS LOSSES

The Website and Products are primarily offered for consumer and ordinary end-user purchases.

Where you use a Product for trade, business, craft, professional or resale purposes, we are not responsible, to the fullest extent permitted by law, for:

• Loss of profit;
• Loss of revenue;
• Loss of business;

• Supply-chain interruption.

We will take reasonable steps to reduce the effect of the event and resume performance.

Where the event causes substantial delay, your rights to cancel, obtain a refund or exercise another legal remedy remain available according to applicable law.

We may transfer our rights or obligations under a Contract to another organisation where this does not reduce your rights or materially disadvantage you.

Where a transfer materially affects an accepted Contract, we will provide appropriate notice where required.

You may transfer your rights under a Contract where the law permits or where we agree in writing.

Nothing in this section prevents a lawful gift recipient from exercising rights available to that recipient under applicable law.


45. NO WAIVER

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived it.

A delay in taking action does not prevent us from acting later, subject to applicable limitation periods and law.

Similarly, nothing in these Terms requires you to give up a statutory right merely because you did not exercise it immediately.


46. SEVERABILITY

Each section of these Terms operates separately.

If a court or competent authority finds that part of these Terms is unlawful or unenforceable, the remaining provisions will continue to apply.

An unlawful provision will apply only to the minimum extent permitted or will be treated as removed where required.


47. THIRD-PARTY RIGHTS

Unless expressly stated otherwise, a person who is not a party to the Contract does not have a right to enforce these Terms.

This does not affect any right or remedy available to a gift recipient, product user or another person under mandatory law.


48. ENTIRE CONTRACT

The Contract consists of:

• These Terms;
• The accepted Order;
• Relevant Product information;
• The applicable policies;
• Any product-specific warranty;
• Any promotion terms; and
• Any written change agreed between you and us.

Nothing in this section excludes responsibility for fraud, fraudulent misrepresentation or pre-contract information that applicable law treats as binding.


49. GOVERNING LAW AND COURTS

These Terms are intended for Orders supplied to customers in the United Kingdom.

If you are a consumer, these Terms do not deprive you of mandatory protections provided by the law applicable where you live.

If you live in England or Wales, you may bring legal proceedings in the courts of England and Wales.

If you live in Scotland, you may bring legal proceedings in the Scottish courts.

If you live in Northern Ireland, you may bring legal proceedings in the courts of Northern Ireland.

The parties may also agree to another lawful dispute-resolution method after a dispute arises.

Nothing in this section restricts any mandatory jurisdiction or consumer protection available to you.
